Cross-border M&A best practices This breakout roundtable will explore a range of challenges and best practices for dealmakers that are pursuing cross-border M&A transactions. Conversation topics may include; financing, regulatory, cultural, and transactional differences given the desired level of control. The facilitator may also include in the conversation dispute resolution mechanisms and other enforcement approaches.

Negotiating risk allocation This breakout roundtable will explore the give-and-take between buyers and sellers in negotiating key provisions in both domestic and international transactions. In particular, the participants will consider risk allocation, look at the use of earnouts and transaction insurance, discuss the strength of various protections and remedies, and review other timely and related topics that may impact the structure and negotiation of a transaction.

HR diligence and retention structures: This breakout roundtable will explore how the most effective dealmakers approach HR due diligence to identify people-related financial, operational, and cultural integration challenges and the potential impact on the future state operating model. This discussion will include examples of significant people risks uncovered during due diligence and provide a range of innovative frameworks to retain acquired talent.

Dealing with leaks and M&A security This breakout roundtable will explore a range of challenges when deal negotiations or target data is disclosed to the media, investors, customers, or employees. The participants considered the use of intentional leaks to drive specific actions and apply pressure on a target company. The discussion will then shift to the unique legal, cultural, and strategic issues associated with M&A security and look at advanced cybersecurity testing of targets.
