Corporate Venture Investing | September 2021

This M&A Master Class will focus on the specific decisions, information, and actions that will likely be required during an early stage investment process.

II. Structuring, negotiating and closing corporate venture investment transactions

  1. Valuation models and growth assumptions
  2. Securing strategic value creation opportunities
  3. Lead and co-investing dynamics and terms
  4. Board representation levels and fiduciary duties
  5. Typical capital structures and associated rights
  6. Call options and other control / exit rights
  7. Non-financial support contributions

III. Governance for corporate venture investments

  1. Investment committee structures
  2. CFIUS and other investment controls
  3. Compensation models for CVC leaders
  4. Brand risks and compliance considerations
  5. Determining frameworks for disputes and remedies
  6. Measuring financial or strategic returns
  7. Guest Q&A: Lessions learned & insights

Familiarity with M&A concepts and methods is prerequisite knowledge.
