  6. Navigating competition and antitrust reviews
  7. Bifurcated closings

III. Negotiating purchase agreements

  1. Structuring the acquisition of a public company
  2. Structuring the acquisition of a private company
  3. Structuring the acquisition of a venture-back company
  4. Structuring the acquisition of a distressed company / Sec. 363 assets
  5. Determining frameworks for post-closing disputes and remedies
  6. Sandbagging clauses and other closing considerations
  7. Guest Q&A: Lessons learned & insights

WHY ATTEND

The curriculum is designed for public company corporate development directors, in-house M&A counsel, strategy & finance managers, and those in similar roles with 10+ years of professional experience and responsibility for M&A activities. Familiarity with M&A concepts and methods is prerequisite knowledge.
